Please read these Terms and Conditions ("Terms") carefully before using the StrataIce application (the "Service") operated by StrataIce LLC ("us", "we", "our").
1. Acceptance of Terms
By accessing or using the Service, you agree to be bound by these Terms. If you disagree with any part of the terms, you may not access the Service.
2. Description of Service
StrataIce is a professional hockey analytics platform providing tools for live game stat tracking, player performance analysis, roster management, and lineup generation.
3. Subscriptions and Payments
Some parts of the Service are billed on a subscription basis. Payments are processed securely via our third-party provider (Stripe). You may cancel your subscription at any time through the billing portal. Cancellation will take effect at the end of your current billing cycle. No prorated refunds are provided.
4. User Accounts and Responsibilities
You are responsible for safeguarding the password that you use to access the Service. You agree not to share your administrative access credentials. You may invite other users through the platform's official invite system. You are fully responsible for all actions taken under your account.
5. Data Ownership and Compliance
You retain all rights and ownership to the roster data, schedules, and analytics you input into the Service ("User Data"). By inputting personal data of players, you represent and warrant that you have obtained all necessary consents, permissions, and rights from the players (or their parents/legal guardians, if minors) to use their data within StrataIce. You may export your raw data or Hudl XML files at any time.
6. Acceptable Use & Intellectual Property
You agree not to use the Service for unlawful purposes, to overload or spam the database, to reverse engineer the platform, or sell/lease the software to unauthorized third parties. The Service and its original code, features, functionality, and design (excluding User Data) are the exclusive property of StrataIce LLC and its licensors.
7. Limitation of Liability & "As Is" Disclaimer
The Service is provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, either express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or completely secure.
IN NO EVENT SHALL STRATAICE LLC, ITS DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE TO YOU FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR USE, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE. OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ANY CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
8. Indemnification
You agree to defend, indemnify, and hold harmless StrataIce LLC and its affiliates, employees, and contractors from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms, your use of the Service, or your failure to obtain appropriate legal consent (including COPPA and FERPA) before uploading third-party or minor data.
9. Dispute Resolution: Binding Arbitration & Class Action Waiver
Any dispute, claim, or controversy arising out of or relating to these Terms or the breach thereof shall be settled by binding individual arbitration administered by the American Arbitration Association in accordance with its Commercial Arbitration Rules. YOU AND STRATAICE LLC AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. The arbitrator may not consolidate more than one person's claims. These Terms shall be governed by the laws of Iowa, United States.
10. FERPA Compliance (For Educational Institutions)
If you are a school or educational agency subject to the Family Educational Rights and Privacy Act (FERPA), you designate StrataIce LLC as a "School Official" with a legitimate educational interest in the educational records you provide. You retain full ownership and control over this data. You agree that you are solely responsible for complying with FERPA, including obtaining any required written consent from parents or eligible students before uploading personally identifiable information to the Service.
