Please read these Terms and Conditions ("Terms") carefully before using the StrataIce application (the "Service") operated by StrataIce LLC ("us", "we", "our").

1. Acceptance of Terms

By accessing or using the Service, you agree to be bound by these Terms. If you disagree with any part of the terms, you may not access the Service.

2. Description of Service

StrataIce is a professional hockey analytics platform providing tools for live game stat tracking, player performance analysis, roster management, and lineup generation.

3. Subscriptions and Payments

Some parts of the Service are billed on a subscription basis. Payments are processed securely via our third-party provider (Stripe). You may cancel your subscription at any time through the billing portal. Cancellation will take effect at the end of your current billing cycle. No prorated refunds are provided.

4. User Accounts and Responsibilities

You are responsible for safeguarding the password that you use to access the Service. You agree not to share your administrative access credentials. You may invite other users through the platform's official invite system. You are fully responsible for all actions taken under your account.

5. Data Ownership and Compliance

You retain all rights and ownership to the roster data, schedules, and analytics you input into the Service ("User Data"). By inputting personal data of players, you represent and warrant that you have obtained all necessary consents, permissions, and rights from the players (or their parents/legal guardians, if minors) to use their data within StrataIce. You may export your raw data or Hudl XML files at any time.

6. Acceptable Use & Intellectual Property

You agree not to use the Service for unlawful purposes, to overload or spam the database, to reverse engineer the platform, or sell/lease the software to unauthorized third parties. The Service and its original code, features, functionality, and design (excluding User Data) are the exclusive property of StrataIce LLC and its licensors.

7. Limitation of Liability & "As Is" Disclaimer

The Service is provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, either express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or completely secure.

IN NO EVENT SHALL STRATAICE LLC, ITS DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE TO YOU FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR USE, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE. OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ANY CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

8. Indemnification

You agree to defend, indemnify, and hold harmless StrataIce LLC and its affiliates, employees, and contractors from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms, your use of the Service, or your failure to obtain appropriate legal consent (including COPPA and FERPA) before uploading third-party or minor data.

9. Dispute Resolution: Binding Arbitration & Class Action Waiver

Any dispute, claim, or controversy arising out of or relating to these Terms or the breach thereof shall be settled by binding individual arbitration administered by the American Arbitration Association in accordance with its Commercial Arbitration Rules. YOU AND STRATAICE LLC AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. The arbitrator may not consolidate more than one person's claims. These Terms shall be governed by the laws of Iowa, United States.

10. FERPA Compliance (For Educational Institutions)

If you are a school or educational agency subject to the Family Educational Rights and Privacy Act (FERPA), you designate StrataIce LLC as a "School Official" with a legitimate educational interest in the educational records you provide. You retain full ownership and control over this data. You agree that you are solely responsible for complying with FERPA, including obtaining any required written consent from parents or eligible students before uploading personally identifiable information to the Service.

Welcome to StrataIce. This Privacy Policy explains how StrataIce LLC ("we," "our," or "us") collects, uses, and safeguards your information when you visit the StrataIce platform (the "Service").

1. Information We Collect

Account Info: Email address, name, and role.
Payment Info: Processed via Stripe; we do not store full credit card numbers.
Team Data: Roster details (names, numbers, DOB, height, weight, hometowns) and performance stats inputted by authorized team users.
Usage Data: Automatically collected diagnostic and log data via our hosting providers, as well as bot-protection metrics.

2. How We Use Your Information

To provide, operate, and maintain the platform; generate analytics; authenticate logins; process payments; protect against abuse (via Google App Check and similar technologies); and improve the Service.

3. How We Share Your Information

We do not sell your personal data. We share data only with trusted service providers (e.g., Google Firebase for database/hosting, Stripe for billing) necessary to operate the application. Team data is visible only to authorized users explicitly invited within your specific team account.

4. Data Security

We implement industry-standard security measures provided by Google Firebase to protect your data. However, no method of transmission over the internet or method of electronic storage is 100% secure.

5. Children's Privacy (COPPA & Minors)

StrataIce is intended exclusively for use by adults (coaches, administrators, and team staff) who are 18 years of age or older. We do not knowingly permit children under the age of 13 to create accounts.

The Service allows authorized adults to input performance and physical data regarding athletes, including those under 18. By inputting data for athletes under the age of 13, the Account Owner represents and warrants that they are the parent/legal guardian, OR that they act on behalf of the school/organization and have obtained verifiable parental consent in compliance with the Children's Online Privacy Protection Act (COPPA). If we learn that personal information of a child under 13 has been collected without verifiable parental consent, we will delete that information as quickly as possible.

6. Data Retention & Deletion Policy

We retain User Data as long as you maintain an active subscription. If your subscription is canceled or lapses, we reserve the right to permanently delete all associated User Data (including rosters, analytics, and schedules) 60 days after the end of your billing cycle. It is your responsibility to export your data before your account closes. You may manually request immediate data deletion at any time by contacting us.

7. Your Data Rights & Contact

You may access, update, or delete your information by modifying your account settings or utilizing the export/purge tools in the app. If you are a player wishing to have your data removed, contact your team's Coach directly, or reach out to us at: strataice@gmail.com
